Terms & Conditions

Effective date: January 1, 2026

These Terms & Conditions ("Terms") govern your use of euridica.com (the "Site") and any request for, purchase of, or engagement of services from Euridica Web Agency ("Euridica", "we", "us", "our"). By accessing the Site or working with us, you agree to these Terms.

If you do not agree, please do not use the Site.

1) Who we are

Euridica Web Agency provides services such as website design and development, WordPress development, SEO and technical SEO, performance optimization, analytics/reporting, content support, and related consulting ("Services"). Any scope, timeline, and pricing are defined in a proposal, statement of work ("SOW"), or written agreement.

2) Using the Site

You agree not to:

• Attempt to gain unauthorized access to the Site, server, or systems
• Interfere with the Site's operation (including by introducing malware or abusing forms)
• Use the Site for unlawful purposes or to violate the rights of others

We may suspend or restrict access to the Site if we believe misuse is occurring.

3) Inquiries, proposals, and starting work

A. Estimates and proposals

Information on the Site is for general informational purposes. Any pricing, timelines, and deliverables discussed informally (email, call, chat) are not binding until confirmed in a written proposal/SOW and accepted by you.

B. Project kickoff

Work typically begins after we receive, as applicable:

• A signed proposal/SOW (or written acceptance)
• Any required deposit or initial payment
• Required access, assets, and content needed to start

C. Client responsibilities

To deliver Services effectively, you agree to:

• Provide accurate information and timely feedback
• Supply or approve content, brand assets, and required access (hosting, domain, CMS, analytics, etc.)
• Ensure you have rights to any materials you provide (text, images, logos, code, data)
• Review deliverables promptly and request changes within the agreed revision window (if any)

Delays in feedback or access may shift timelines.

4) Scope of work and change requests

We work based on the agreed scope in your proposal/SOW. If you request work beyond scope (new features, new pages, major design changes, extra rounds of revisions, added integrations, etc.), we may treat it as a change request and provide:

• A revised quote, timeline, or both
• Additional billing at an agreed fixed fee or hourly rate

5) Payments, invoices, and late fees

Payment terms are defined in your proposal/SOW or invoice. Unless otherwise agreed:

• Invoices are due upon receipt or within the stated net terms
• Late payments may pause work and delay delivery
• You are responsible for any taxes that apply to your purchase of Services (if applicable)

If you would like, we can add a specific late fee percentage here to match your invoicing policy.

6) Third-party services and accounts

Projects often involve third-party providers (hosting, domains, plugins, themes, fonts, analytics, email platforms, payment processors, etc.). Unless explicitly included in your SOW:

• You are responsible for third-party fees and subscriptions
• Third-party terms and privacy policies apply
• We are not responsible for outages, changes, or discontinuations by third parties

We can recommend tools, but we do not guarantee third-party performance.

7) SEO, analytics, and "no guarantees"

Search engines and platforms change frequently. Because results depend on factors outside our control (competition, algorithm changes, site history, technical constraints, content quality, market behavior, approvals, and third-party systems), you understand and agree:

• We do not guarantee rankings, traffic, leads, revenue, or conversion outcomes
• We may provide forecasts or best practices, but they are not promises
• Performance improvements can be influenced by your timely implementation and approvals

8) Intellectual property (IP)

A. Your materials

You retain ownership of your pre-existing materials (logos, trademarks, content, photos, videos, data, etc.). You grant us a limited license to use them solely to perform the Services.

B. Deliverables created by Euridica

Unless otherwise stated in your proposal/SOW:

• Final deliverables you have paid for (site files, layouts, custom code created for you) are transferred to you upon full payment
• We may reuse general know-how, techniques, and non-confidential elements developed during the project

C. Third-party components

Some deliverables may include third-party components (plugins, libraries, frameworks) with separate licenses. Those licenses govern your use.

9) Portfolio and attribution

Unless you request otherwise in writing, you grant Euridica permission to:

• List your name and/or business name and a brief description of work in our portfolio
• Show screenshots or a link to the completed project

If you require confidentiality (e.g., NDA), we will follow the signed agreement.

10) Confidentiality

If we receive confidential business information from you, we will use reasonable care to keep it confidential and use it only to perform Services. For formal confidentiality terms (NDA), we can sign a separate agreement.

11) Support, maintenance, and warranties

Unless explicitly included in your proposal/SOW:

• Ongoing support, updates, security patching, backups, and monitoring are not included
• Websites and software may require regular updates due to platform changes
• You are responsible for maintaining access credentials securely

We provide Services "as is" and disclaim warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12) Limitation of liability

To the maximum extent permitted by law:

• Euridica will not be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, lost business opportunities)
• Euridica's total liability for any claim related to the Services or Site is limited to the amount you paid Euridica for the Services giving rise to the claim, during the three (3) months before the event that caused the claim

Some jurisdictions do not allow certain limitations, so parts may not apply to you.

13) Indemnification

You agree to indemnify and hold harmless Euridica from claims, damages, and expenses (including reasonable attorney fees) arising out of:

• Materials you provide that infringe someone else's rights
• Your misuse of the Site or Services
• Your violation of laws or third-party rights

14) Termination

Either party may terminate an engagement as set out in the proposal/SOW. If no termination terms are defined, either party may terminate with written notice.

Upon termination:

• You are responsible for paying for work completed up to the termination date
• Any prepaid amounts are handled according to your proposal/SOW
• We will provide reasonable handoff materials as agreed (e.g., files, credentials), once any outstanding invoices are paid

15) Changes to these Terms

We may update these Terms from time to time. The "Effective date" at the top shows when the latest version became active. Continued use of the Site after changes means you accept the updated Terms.

16) Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
